
PETER DEEGAN
Having previously qualified in Australia in 1976, Peter was then admitted as a solicitor in England and Wales in 1984. He is now equipped with over 50 years' experience in corporate mergers & acquisitions as well as banking & finance transactions.
Professionally Peter has lived and worked in London, Sydney, Abu Dhabi, Budapest, Istanbul, Madrid, Moscow, San Francisco and Warsaw, with almost a year on the ground in China from 2016 to 2018.
Work Highlights
Real Estate Mergers, Acquisitions and Joint Ventures
Oaktree: advised on the acquisition by tender from Banco Sabadell of a large portfolio comprising undeveloped land plots, residential development-in-progress assets and residential units across Spain and the shares of the development management and sales platform.
Union Investment & Generali SCF: advised on a joint venture agreement between Union and Generali and on the acquisition by the joint venture of a large shopping complex in Zaragoza, Spain from Intu Shopping Centres Plc and CCPIB, as well as on an asset management agreement between the joint venture and Axis Retail Partners.
Metro Group: Advised on the largest sale and lease-back transaction in Central Europe (a group of 28 SPVs which together owned retail centres with a value of €1 billion), including a vendor mezzanine finance facility. The transaction involved the first true ‘triple net’ long-term leases in Central Europe.
Real Estate Finance and Infrastructure
Aareal Bank: Advised on the financing of the acquisition of the owner of "Rondo One", a prestigious office building in central Warsaw and several amendments to the facility (as well as on various other development and investment loans).
Macquarie Countrywide Trust: Advised a non-recourse loan facility for the acquisition of its first assets in Europe, a portfolio of 5 retail centres across Poland.
Abu Dhabi Ports Company PJSC: Advised on the operating rules and structuring of a template musataha, a type of usufruct for development, long-term tenure and remediation of sits for factories and warehouses, for the Khalifa Port and Khalifa Industrial Zone, a multi-billion USD development near the Abu Dhabi/Dubai border.
Eurohypo AG: Advised the bank in connection with financing the purchase of an office building in Warsaw as part of a pan-European portfolio financing arrangement compliant with Shari'a (Islamic law) financing principles.This was the first Shari'a financing in Central Europe (as well as on various other development and investment loans).
Bank Austria Creditanstalt AG and Bank BPH S.A.: Advised on a loan to BCT - Baltycki Terminal Kontenerowy sp. z o.o. This deal was awarded Port Finance deal of the year by Jane's Transport Finance.
